Terms & Payments

Effective Date: August 16, 2026

These Terms & Payments (the “Payment Terms”) set out the commercial and payment terms applicable to consulting and engineering engagements with Yoosuf Mohamed (the “Consultant”). These Payment Terms are incorporated into, and form part of, the Terms of Service, and capitalised terms used but not defined herein have the meanings given in the Terms of Service. In the event of any inconsistency between these Payment Terms and an Engagement Agreement, the Engagement Agreement shall control.

1. Currency and Quotes

All pricing is quoted and invoiced exclusively in USD (United States Dollar). Engagement fees are determined by the following factors, each of which shall be assessed by the Consultant in its sole discretion:

  • Scope — the size, complexity, and nature of the work;
  • Timeline — the delivery schedule and any priority or expedited delivery requirements;
  • Engagement model — whether the engagement is a fixed-scope project, a monthly retainer, or a fractional leadership arrangement.

The starting prices published on the Services page are indicative only and do not constitute a binding offer. Larger or more complex engagements are individually scoped and quoted separately, and no work shall commence until the Client has received and accepted a written proposal setting out the fixed or estimated Fees.

2. Quoting Process

The engagement process is as follows:

  1. Discovery call. A complimentary thirty (30) minute call to understand the Client’s goals, constraints, and definition of success.
  2. Written proposal. The Consultant issues a written proposal specifying the deliverables, timeline, milestones, and Fees. The proposal may include assumptions and exclusions, which shall be binding on the parties.
  3. Engagement Agreement. Upon acceptance of the proposal, the parties execute an Engagement Agreement, and work begins only after the Engagement Agreement has been executed by both parties and any required deposit has been received.

3. Payment Terms

Unless otherwise stated in the Engagement Agreement, payments are due as follows:

  • Deposit. A deposit is required to reserve capacity before work begins. The deposit amount shall be specified in the Engagement Agreement.
  • Milestones. Remaining Fees are invoiced against agreed milestones as defined in the Engagement Agreement. Milestone invoices are due upon delivery of the corresponding milestone.
  • Retainers. Monthly retainers are invoiced in advance and are due at the start of each billing period.

The Consultant shall not be obligated to commence or continue work while any invoice is outstanding and unpaid. Suspension of Services for non-payment shall not constitute a breach by the Consultant.

4. Invoicing

  • Invoices are issued in USD and reference the milestone or deliverable to which they relate.
  • Invoices are sent by email and are payable within the period stated on the invoice, typically seven (7) days from the invoice date.
  • Each invoice is accompanied by a breakdown of the work completed, so that the Client can verify the amounts billed.

5. Payment Methods

Payments are accepted via Wise.com (recommended for fast, low-cost international transfers) or by direct bank transfer. Bank and Wise account details are provided on the invoice. Payment is deemed received on the date the funds are credited to the Consultant’s account. Receipts are provided for every payment. The Consultant does not accept payment by credit or debit card unless otherwise agreed in writing in the Engagement Agreement.

6. Taxes

Fees are quoted exclusive of any applicable taxes, levies, or duties. The Client is responsible for all taxes, levies, duties, and similar charges imposed by any jurisdiction arising from the engagement, including without limitation VAT, GST, withholding taxes, and bank or transfer fees associated with payment. Where the Consultant is legally required to collect or remit a tax, such tax will be added to the invoice at the applicable rate. Withholding taxes, if any, shall be borne by the Client.

7. Revisions and Rework

Each milestone includes a reasonable number of revisions necessary to bring the Deliverable into conformity with the agreed scope. Substantive changes to scope are treated as new work and are quoted and billed separately. Rework arising from changes requested by the Client, rather than from any defect in the Deliverable, is billed at the Consultant’s then-current standard rate.

8. Refunds

Deposits and completed milestone payments are non-refundable once the corresponding work has been delivered. If the Consultant fails to deliver agreed Deliverables in accordance with the Engagement Agreement, the Client’s sole remedy shall be a refund of the Fees paid for the undelivered portion of the engagement, as described in the Engagement Agreement.

9. Late Payment

Work is suspended on any engagement with an outstanding and unpaid invoice. In the event that an invoice remains unpaid for a period exceeding the terms stated on the invoice, the Consultant may, in its sole discretion, apply late-payment charges at the rate specified in the Engagement Agreement, to the extent permitted by law. Repeatedly late payments may result in the suspension or termination of the engagement until all outstanding amounts are paid in full.

10. Termination

Either party may terminate an engagement with written notice as specified in the Engagement Agreement. Upon termination, the Client shall be liable for all Fees for work completed up to the date of termination, including work completed but not yet delivered, together with any non-cancellable expenses incurred by the Consultant. Deposits shall be applied against such Fees and any balance shall be refunded or invoiced, as applicable.

11. Intellectual Property

Unless otherwise agreed in writing, all Deliverables created for the Client during a paid engagement are owned by the Client upon full payment of the Fees, and the Consultant retains ownership of all pre-existing tools, libraries, methodologies, and know-how, in accordance with Section 7 of the Terms of Service.
